Sr. Counsel

The Sr. Counsel is responsible for primarily supporting the Company's merit construction operations, servicing the U.S. and international markets on engineering, procurement and construction projects servicing industrial and energy clients. The primary responsibility will be to ensure compliance with the Company's Contract Proposal and Signing Authority policies. Specifically, the position is responsible for working directly with senior and executive management in the review and negotiation of commercial and engineering, procurement and construction service contracts with potential and existing clients, subcontractors and vendors, ensuring appropriate terms and conditions are incorporated and management of associated claims or disputes arising from such work. The Sr. Counsel shall also provide day-to day legal advice and counsel in multiple areas of the law, including but not limited to, construction, commercial, business, international registrations, intellectual property management, immigration requirements, employment and labor, and insurance, managing the litigation of assigned cases, provide training to operations; and other assignments, as necessary. The Sr. Counsel shall be responsible for managing one in-house attorney.
Essential Functions
Actively support the Company's commitment to safety and its Core Values.
Represent the Company at all times with high moral standards while adhering to the Company's Code of Business Conduct and Ethics.
Ensure compliance with Company policies and procedures within respective division(s) and provide training to employees to help ensure understanding and compliance of such policies and procedures.
Review, modify, administer and negotiate, where appropriate, commercial and design services contracts, including but not limited to lump sum, time and material, cost plus and joint venture agreements to ensure appropriate terms and conditions, business risk factors and insurance requirements are within company standards and guidelines.
Develop and implement project specific subcontracts and vendor agreements. Ensure compliance with Company subcontractor approval process. Review, negotiate and approve deviations from standard Company subcontract, where necessary.
Work closely with management, specifically, merit subsidiary Executive Management, Division and Project Managers to provide guidance and ensure proper understanding of the contract provisions for each project, as well as, adherence to the risk mitigation plan devised at both bidding, award, commercial management and audits throughout the life cycle of contracts.
Provide presentation of business and legal risks within a commercial contract to members of Executive Management, including the Risk Management Committee, where necessary or appropriate.
Act as liaison between clients, subcontractors, vendors, suppliers and division and/or corporate office personnel on contract issues.
Provide day-to day legal advice and counsel in multiple areas of the law, including but not limited to, construction, commercial, business, international registrations, immigration requirements, employment and labor, and insurance.
Under the supervision of the VP Legal and Risk Management, be responsible for managing and working with outside counsel on litigation matters. Strategize with outside counsel to determine the best and most cost-effective ways to litigate the given case. Manage costs of litigation and claims. Attend hearings, mediations and arbitrations as company representative. Manage and communicate with experts. Prepare litigation reports on assigned cases.
Manage the Company's intellectual property portfolio, coordinate with operations and local counsel for patent and trademark submissions.
Maintain thorough understanding of company's insurance programs and submit any deviations to VP Legal and Risk Management.
Perform additional responsibilities, as needed or requested.
Qualifications
Juris Doctorate Degree from an ABA accredited law school; Bachelor's Degree in Business, Construction, Engineering, Safety, or other related field preferred;

years legal experience, with an emphasis in commercial contracts, general corporate law and international business registration;
License to practice law, in good standing, in any state;
Ability to work independently, yet part of a Team, where internal customers and other Team members office out of various remote locations;
Excellent interpersonal, oral and written communication skills.
Demonstrated ability to work effectively with individuals at all organizational levels, both internally and externally.
Demonstrated ability to effectively negotiate with clients, subcontractors, vendors and suppliers.
Ability to assess business risk in varying situations and make associated recommendations to minimize risk to the company.
Ability to work on/manage multiple priorities simultaneously, work with frequent interruptions and meet established deadlines.
Strong analytical skills, with the ability to gather and weigh facts and information from many sources, draw conclusions and make recommendations to management.
Strong attention to detail.
Proficient computer skills, including experience with Microsoft Word, Excel, Outlook, and the Internet.
Ability to travel periodically to divisional/corporate offices and client, vendor and/or jobsite locations, including occasional trips to foreign countries.
PHYSICAL/SPECIAL REQUIREMENTS:
Periodic overtime and travel, including international travel, may be required in this position.
Spanish proficiency not required, but is a plus.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
